Grant Thornton Germany advises Main Capital Partners on the takeover of cisbox GmbH

Main Capital Partners, a leading software investor in the Benelux, German-speaking and Nordic countries, has taken over cisbox GmbH and its subsidiaries, cisbox Ltd. and cisbox Software Ltd. cisbox offers independent cloud and AI-based procure to pay data solutions and platforms for vertical markets (e.g. the hospitality, health care and public sectors) both through direct sales and as a business model with white label partners.
An interdisciplinary team from Grant Thornton Germany advised Main Capital Partners on the transaction. The transaction team, composed of financial advisory headed by the Partner Harald Weiß and tax advisory headed by the Partner Dr Nicolas Brüggen, successfully navigated Main Capital Partners through financial and tax due diligence, and provided advice on the sales and purchase agreement and warranties and indemnities. The transaction was also advised by team members from Grant Thornton Vietnam to safeguard against local tax risks.
As a strategic investor focusing on business software in the Benelux, German-speaking and Nordic countries, Main Capital Partners manage assets of around 2.2 billion euros. Main Capital Partners have been realising a long-term growth trajectory since 2003, by applying strategic product and market positioning and selective buy-and-build, partnership and internationalisation strategies.
Together with its subsidiaries in Vietnam, cisbox GmbH offers its customers solutions for accounts payable, e-procurement and business intelligence. cisbox is supported by a team of over 150 colleagues who are responsible for BPaaS solutions for digital order and accounts payables management, with a strong customer base in the German-speaking countries.
