Background of the deal
Today, DEUTZ AG is the world's oldest engine factory and one of the global leading manufacturers of innovative engine systems. As part of its E-DEUTZ strategy, DEUTZ already acquired the supplier of electric boat drives and integrated electric drives Torqeedo in 2017. Futavis GmbH, founded in 2013 and rapidly growing in the last years, is an engineering service provider in the field of electric mobility with a focus on the development of battery management systems (BMS). Futavis also offers its industrial customers tests for functional safety (FuSi). With the acquisition of Futavis, DEUTZ is making another step in pursuing its strategic goals and enhances further the opportunities, structures, know-how and assets within the E-DEUTZ team.
The Munich Legal team of Warth & Klein Grant Thornton Rechtsanwaltsgesellschaft – Stefan Rau and Yana Stoilova (M&A), Kathrin Reitner (labour law) – provided comprehensive legal support during the acquisition process of Futavis GmbH, from the legal due diligence through the contract negotiations up to closing. Warth & Klein Grant Thornton was further able to demonstrate a complete transaction service package from a single source by competently accompanying the deal also from an economic (Stefan Blum, Corporate Finance & Advisory Services Dusseldorf) and tax (Jens Knipping, Tax Dusseldorf) perspective.
We make the difference
The professionals of Warth & Klein Grant Thornton have mastered the challenge of affiliating a dynamic start-up (Futavis) into the group structure of a listed German stock corporation (DEUTZ) with advisory tact and creative approaches, while at the same time always keeping an eye on the client's legal and economic interests in order to contribute to the long-term success of the transaction.
„The Warth & Klein Grant Thornton team offered us comprehensive and very competent advice throughout the whole project. Particularly in the context of the legal negotiations and structuring of the transaction, our Warth & Klein Grant Thornton advisors provided valuable support in a process that was highly demanding both in terms of time and contents.“ (Martin Treiber (M&A) and Dr. Fabian Dietrich (General Counsel), Deutz AG)
